On June 9, 2007, the Board of Directors of the Company increased the size of the Board of Directors from eight to nine directors, with the number of Class I directors increasing from two to three, and appointed Michael J. Potter to the Board of Directors as a Class I director to fill the resulting vacancy. Mr. Potter’s term will expire on the date of the Company’s 2008 Annual Stockholders Meeting. The Company has not yet determined which committees of the Board of Directors, if any, that Mr. Potter will join. Mr. Potter will be compensated as a non-employee director in accordance with the Company’s non-employee director compensation policies as described in the Company’s 2007 Proxy Statement. The Company issued a press release on June 13, 2007 announcing the appointment of Mr. Potter to the Board of Directors, a copy of which is filed asExhibit 99.1 hereto.
At the Company’s 2007 Annual Stockholders Meeting held on June 9, 2007, the stockholders of the Company approved (1) the election of James R. Alexander, Jerry Gramaglia and Kay Isaacson-Leibowitz as Class II directors to the Board; and (2) the ratification of the appointment of Deloitte & Touche LLP as the Company’s independent registered public accounting firm for the fiscal year ending February 2, 2008.
