Explanation of Responses:

1. Pursuant to the Second Amended and Restated Agreement of Limited Partnership Agreement of American Farmland Company L.P. (the "Partnership"), a holder of common units of the Partnership, after a one year holding period, has a right to require the Partnership to redeem all or a portion of the common units held by such holder. Upon a redemption request, the Issuer has the option to purchase the common units directly, either in cash or common stock of the Issuer.

2. These common units have been held for one year and therefore may be redeemed in accordance with the Partnership Agreement.

3. These derivative securities do not have an expiration date.

4. Includes 8,453 common units held directly by Mr. Gimbel and Mr. Gimbel's pecuniary interest in 125 common units held by American Farmland Advisor LLC ("AFA").
