1. Time-based restricted stock units (RSUs) that represent the right to receive one share of the Issuer's Common Stock per unit.

2. Vesting of RSUs and delivery of shares to satisfy federal tax obligations with respect to the RSUs that were converted from Raytheon Company performance-based vesting RSUs originally granted on January 29, 2020 under the 2020-2022 Long-Term Performance Plan (LTPP).

3. Vesting of RSUs and delivery of shares to satisfy federal tax obligations with respect to the RSUs that were converted from Raytheon Company RSUs originally awarded on March 25, 2020.

4. Vesting of RSUs and delivery of shares to satisfy federal tax obligations with respect to the RSUs that were converted from Raytheon Company performance-based vesting RSUs originally granted on January 30, 2019 under the 2019-2021 LTPP.

5. Vesting of RSUs and delivery of shares to satisfy federal tax obligations with respect to the RSUs that were converted from Raytheon Company performance-based vesting RSUs originally granted on January 24, 2018 under the 2018-2020 LTPP.
