PROFESSIONAL STAFF NOTIFIES SHAREHOLDERS OF MAILING OF ACQUISITION DOCUMENTS
—Fourth Quarter and Year-End Results to be Included in Documents—
LONDON, ENGLAND — May 6, 2003 — Professional Staff (Nasdaq: PSTF)today announced that the Company will mail the scheme of arrangement (the “Scheme”) documents to holders of Professional Staff shares and ADS in connection with the April 15, 2003, reported proposal for the acquisition of Professional Staff by Ohsea Holdings Limited. Included in the Scheme documents to be mailed from Wednesday, May 7, 2003, will be Professional Staff’s fourth quarter and year-end results. Consequently, the Company will not issue a separate press release or hold a conference call related to these results. On April 14, 2003, the Company announced preliminary results for the fourth quarter and expects financial results to be consistent with earlier expectations.
The Scheme documents (comprising a circular to shareholders explaining the Scheme and convening shareholders’ meetings to seek the necessary approvals and Schedule 13E-3, which has been filed with the SEC) will also be available to view on the Company website (http://www.professional-staff.com) on Thursday May 8, 2003.
Professional Staff is a specialty staffing services company based mainly in the United Kingdom, the United States and a number of European countries, including Germany and France, providing temporary and permanent placement services to the communications technology, science and interim management sectors. Professional Staff’s ordinary shares are traded in the form of American Depositary Shares on the Nasdaq National Market.
