These restricted stock units vest 100% on the earlier of one year from grant date or the date of the 2016 Annual Meeting of Shareholders, or (2) on Separation from Service with the Board due to death, Disability; or involuntary Separation from Service with the Board following a Change in Control of the Corporation.

2. These restricted stock units are issued under Sprint Corporation's 2015 Omnibus Incentive Plan. Each unit represents the right to receive one share of the underlying security at a date in the future.

3. Includes 51,187 restricted stock units which are subject to forfeiture until they vest.
