Explanation of Responses:

1. These restricted stock units are issued under Sprint Corporation's Amended and Restated 2015 Omnibus Incentive Plan. Each unit represents the right to receive one share of the underlying security at a date in the future.

2. These restricted stock units vest 100% on the earlier of one year from grant date or the date of the 2019 Annual Meeting of Shareholders, or (2) on Separation from Service with the Board due to death, Disability; or involuntary Separation from Service with the Board following a Change in Control of the Corporation.

3. Includes 39,152 restricted stock units which are subject to forfeiture until they vest.
