The reporting person undertakes to provide to Sprint Corporation, any security holder of Sprint Corporation, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares purchased at each separate price within the range set forth in footnote (1) to this Form 4.

2. Includes 712,234 restricted stock units which are subject to forfeiture until they vest.

3. Stock options vest 33 1/3% on each of May 20, 2016, May 20, 2017 and May 20, 2018.

4. Stock options vest 33 1/3% on each of May 13, 2017, May 13, 2018 and May 13, 2019.
