Item 8.01 Other Events.
On August 6, 2008, HealthTronics, Inc. (“HealthTronics”) issued a press release announcing its proposal to acquire Endocare, Inc. (“Endocare”). The proposal was communicated on August 6, 2008 in a letter from James S.B. Whittenburg, HealthTronics’ President and Chief Executive Officer, to Endocare’s Board of Directors. The press release announcing the proposal, including the full text of the proposal letter delivered to Endocare’s Board of Directors, is attached as Exhibit 99.1 to this Current Report and is incorporated herein by this reference.
