Item 8.01 Other Events.
On December 5, 2012, the Board of Directors of Empire Resources, Inc. (the “Company”) declared a regular cash dividend of $0.025 per share and a special cash dividend of $0.20 per share on its outstanding common stock, payable on December 28, 2012 to stockholders of record as of the close of business on December 18, 2012. On December 6, 2012, the Company issued a press release announcing this regular and special cash dividend, a copy of which is attached as Exhibit 99.1 to this report and is incorporated herein by reference.
