Explanation of Responses:

1. Represents restricted stock units (RSUs) issued pursuant to SeaChange International Inc.'s Second Amended and Restated 2011 Compensation and Incentive Plan. The shares subject to the RSU award shall vest on the earlier to occur of (i) July 9, 2021, (ii) the date of the SeaChange International, Inc.'s 2021 Annual Meeting of Stockholders or (iii) a change in control of SeaChange International, Inc. The reporting person has elected to defer issuance of the shares underlying the RSU award upon vesting until the earlier of the reporting person's departure from the SeaChange International, Inc.'s board of directors or a change in control of SeaChange International, Inc.
