On March 26, 2021, Timothy B. Anderson, who has served as a member of the Board of Directors (the “Board”) of Cerus Corporation (the “Company”) since 2003, informed the Company of his intention to retire from the Board effective as of June 3, 2021 to spend more time with his family. Mr. Anderson’s decision to retire was not the result of a disagreement with the Company on any matter relating to the Company’s operations, policies or practices. Mr. Anderson will remain a member of the Nominating and Corporate Governance Committee and the Audit Committee through the date of his retirement, though he has stepped down as chair of the Nominating and Corporate Governance Committee.
