Explanation of Responses:

1. Represents an initial award of restricted stock units under the Issuer's 2008 Equity Incentive Plan as compensation for service on the Issuer's Board of Directors, of which fifty percent (50%) vested immediately upon grant and the remaining fifty percent (50%) vest on the first anniversary of the date of the grant, subject to the Reporting Person's continuing service on the Issuer's Board of Directors on such date. Each restricted stock unit represents the right to receive one share of the Issuer's Common Stock upon vesting.
