We have acted as Pennsylvania counsel to Iron Mountain Incorporated, a Pennsylvania corporation (the "Company"), in connection with the registration under the Securities Act of 1933, as amended (the "Act"), by the Company of 500,000 shares (the "Shares") of its common stock, par value $.01 per share, that are issuable pursuant to the provisions of The Iron Mountain Companies 401(k) Plan (the "Plan"). The following opinion is furnished to you to be filed with the Securities and Exchange Commission as Exhibit 5.2 to the Company's registration statement on Form S-8 under the Act.

In giving this opinion, we are assuming the authenticity of all instruments presented to us as originals, the conformity with the originals of all instruments presented to us as copies and the genuineness of all signatures.
