| Amendment Description | EXPLANATORY NOTEThis Amendment No. 2 on Form 10-KT/A (this "Amendment") amends the Transition Report on Form 10-KT (the "2022 Form 10-KT") of Troika Media Group Inc., which together with its subsidiaries, is referred to in this document as "we", "our", "us", or the "Company", for the transition period from July 1, 2022, through December 31, 2022 (the "Transition Period"), as filed with the Securities and Exchange Commission (the "SEC") on March 7, 2023 and as amended by Amendment No. 1 to Form 10-KT/A filed with the SEC on April 14, 2023 (the "2022 Form 10-KT"). We are filing this Amendment to amend (i) Item 7 (Management's Discussion and Analysis of Financial Condition and Results of Operations Results of Operations), (ii) Note 14 (Related Party), (iii) Note 15 (Stockholders Equity) and (iv) Note 18 (Subsequent Events). In addition, the Exhibit Index in Item 15 of Part IV of the 2022 Form 10-KT is hereby amended and restated in its entirety and currently dated certifications required under Section 302 and 906 of the Sarbanes-Oxley Act of 2022 are filed as exhibits to this Amendment. Except as described above, no other changes have been made to the 2022 Form 10-KT. The 2022 Form 10-KT continues to speak as of the date of the 2022 Form 10-KT, and we have not updated the disclosures contained therein to reflect any events which occurred at a date subsequent to the filing of the 2022 Form 10-KT other than as expressly indicated in this Amendment.CHANGE IN FISCAL YEARWe have changed our fiscal year end to December 31 from June 30, effective January 1, 2023.
