Item 1.01. Entry into a Material Definitive Agreement
On December 15, 2006, Guitar Center, Inc., announced that its November 22, 2006 agreement to purchase substantially all the assets of Dennis Bamber, Inc., which operates as The Woodwind & The Brasswind, had been terminated upon approval by the federal bankruptcy court of an alternative stalking horse bidder for the business.
The bankruptcy court set January 24, 2007 as the date for the auction of substantially all the assets of The Woodwind & The Brasswind.
