Item 8.01. Other Events
OGE Energy Corp. (the “Company”) is the parent company of Oklahoma Gas and Electric Company (“OG&E”), a regulated electric utility with approximately 773,000 customers in Oklahoma and western Arkansas, and Enogex LLC and its subsidiaries, a midstream natural gas pipeline business with principal operations in Oklahoma.
As previously announced, OG&E filed, on February 27, 2009, an application with the Oklahoma Corporation Commission (“OCC”) to increase its electric rates to its Oklahoma retail customers by approximately $110 million annually. OG&E announced on July 2, 2009 that it had executed a settlement agreement (the “Settlement Agreement”) with the OCC Staff, the Attorney General’s Office of Oklahoma, The Oklahoma Industrial Energy Consumers and other intervenors resolving all issues associated with its requested rate increase. On July 24, 2009, the OCC approved the Settlement Agreement and OG&E will implement new electric rates effective August 3, 2009. A copy of the Company’s press release announcing the approval of the Settlement Agreement is attached as Exhibit 99.01 and incorporated herein by reference. Also, a copy of the OCC order is attached as Exhibit 99.02 and incorporated herein by reference. Key items of the OCC order include:
| • | An annual net increase of approximately $48.3 million in OG&E’s rates to its Oklahoma retail customers, which includes an increase in the residential customer charge from $6.50/month to $13.00/month. |
| • | Recovery through OG&E’s fuel adjustment clause of approximately $4.8 million annually of certain expenses that historically had been recovered through base rates. |
| • | In addition to the net increase in rates, a new rider will be established to permit the recovery of up to $20 million of capital expenditures and operation and maintenance expenses associated with OG&E’s smart grid project in Norman, Oklahoma, effective upon completion of the project, which is currently scheduled for July 2010. |
| • | Continued utilization of a 10.75% return on equity (“ROE”) under various recovery riders previously approved by the OCC, including riders for the Oklahoma City, Oklahoma to Woodward, Oklahoma transmission line, storm costs, system hardening and enhanced security measures at OG&E’s facilities. The same ROE will be used under the rider described above for OG&E’s smart grid project in Norman, Oklahoma and in calculating allowance for funds used during construction for projects under construction. |
OG&E expects the impact of the rate increase on its customers and service territory to be minimal over the next 12 months as the rate increase will be more than offset by lower fuel costs attributable to prior fuel over recoveries from lower than forecasted fuel costs.
