Item 8.01. Other Events
OGE Energy Corp. (the "Company") is the parent company of Oklahoma Gas and Electric Company ("OG&E"), a regulated electric utility with approximately 813,000 customers in Oklahoma and western Arkansas. In addition, OGE holds a 26.3 percent limited partner interest and a 50 percent general partner interest in Enable Midstream Partners, LP.
On December 11, 2014, OG&E completed the issuance of $250 million in aggregate principal amount of its 4.000% Senior Notes, Series due December 15, 2044 (the "Senior Notes"). The offering of the Senior Notes was registered under the Securities Act of 1933, as amended, pursuant to OG&E's registration statement on Form S-3 (File no. 333-188309-01). A prospectus supplement relating to the offering and sale of the Senior Notes was filed with the Securities and Exchange Commission on December 9, 2014.
Supplemental Indenture No. 15 dated as of December 1, 2014 between OG&E and UMB Bank, N.A., as trustee, creating the Senior Notes is filed as Exhibit 4.01 and incorporated herein by reference.
