Genesis Energy, L.P. Prices Private Placement of Senior Notes
HOUSTON — (BUSINESS WIRE) — Genesis Energy, L.P. (NYSE: GEL - News) today announced that it and its subsidiary, Genesis Energy Finance Corporation, priced an upsized offering of $250 million in aggregate principal amount of 7.875% senior unsecured notes due 2018, increased from the previously announced aggregate principal amount of $200 million. The price to investors will be 100% of the principal amount of the notes. The offering is expected to close on November 18, 2010, subject to customary closing conditions.
Genesis intends to use net proceeds from the offering to partially fund its previously announced pending acquisition of a 50% equity interest in the Cameron Highway Oil Pipeline Company. The net proceeds from the offering will be placed in escrow pending the closing of the acquisition. If the acquisition is not completed, Genesis will be required to redeem all of the notes.
The securities to be offered have not been registered under the Securities Act of 1933, as amended (the “Securities Act”), or any state securities laws, and unless so registered, may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
