Explanation of Responses:

1. On April 1, 2022, Mr. Hovde, a director of ePlus, was issued 387 shares of common stock of the Company (the "Shares"). The Shares were issued pursuant to Mr. Hovde's election to receive the Shares in lieu of cash compensation as permitted under the Company's 2017 Non-Employee Director Long Term Incentive Plan.

2. Mr. Hovde is the managing member of Hovde Capital Ltd., the general partner to Financial Institution Partners III LP, which owns 20,396 shares. Mr. Hovde is a trustee of The Eric D. and Steven D. Hovde Foundation, which owns 18,554 shares.
