| 3. Such restricted stock units are time-based and were scheduled to vest in three equal annual installments beginning on May 25, 2019. An additional 9,470 restricted stock units are time-based and were scheduled to vest on May 25, 2019. However, the Reporting Person deferred the receipt of such vested amounts totaling 132,456 restricted stock units until January 1, 2021. 66,288 of the restricted stock units set forth in box 9 of this Form 4 are time-based and will vest, if at all, beginning on May 25, 2021. The time-based awards will terminate, and the applicable restricted stock units will not vest, if the Reporting Person is not a director of the Company on the date the award is scheduled to vest. |
