On August 16, 2010, Atrinsic, Inc. issued a press release announcing its 2010 second quarter financial results, a copy of which is attached hereto as Exhibit 99.1.

On August 13, 2010, Jeffrey Schwartz resigned from his position as Chief Executive Officer of Atrinsic and also resigned from Atrinsic’s Board of Directors. On an interim basis, Andrew Stollman, Atrinsic's President, and Raymond Musci, Atrinsic's Executive Vice President of Corporate Development, will assume the responsibilities formerly associated with Mr. Schwartz's position.
Atrinsic, Inc. issued a press release announcing the above-described changes in management. A copy of the press release is included as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference.
