Item 8.01. Other Information.
Due to the outbreak of coronavirus disease 2019 (COVID-19), Protagenic Therapeutics, Inc. (the “Company”) is filing this Current Report on Form 8-K to avail itself of an extension to file its Quarterly Report on Form 10-Q for the quarter ended March 31, 2020 (the “Form 10-Q”), originally due on May 15, 2020, relying on an order issued by the Securities and Exchange Commission (the “SEC”) on March 25, 2020 pursuant to Section 36 of the Securities Exchange Act of 1934, as amended (Release No. 34-88465) (the “Order”), regarding extensions granted to certain public companies.
The Company has determined that it will not be able to file the Form 10-Q on time as a result of factors relating to the COVID-19 pandemic and the steps taken by states to seek to reduce the spread of the virus by either requesting or requiring businesses to close or work remotely. As a result, the Company’s accounting staff are not able to complete the Form 10-Q, and the staff of the independent auditors are not able to complete their review of the Form 10-Q, by the required date. Therefore, the Company will be relying on the 45 day grace-period provided by the SEC’s Order to extend the filing deadline within which the Company is required to file its Form 10-Q. The Company will file its Form 10-Q on or before June 29, 2020, 45 days after the original due date for its Form 10-Q.
