Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in FiscalYear.
(a) Amendment to Bylaws
The New York Stock Exchange recently instituted a new listing requirementthat all listed companies must be eligible to participate in the Direct Registry System, astock registry system that reflects stock ownership in a company by book entry ratherthan by actual stock certificates. In order for a company to participate in the DirectRegistry System, that company must have the authority to issue stock in non-certificatedform. Accordingly, at the regular board meeting of Lithia Motors, Inc., held November 8,2007, the board of directors amended Article IV of its Bylaws, authorizing the issuance ofnon-certificated shares. The amended and restated Bylaws are attached as an exhibit tothis report.
