Item 7.01. Regulation FD Disclosure

On June 12, 2014, Lithia Motors, Inc., an Oregon corporation, announced the acquisition of Buick GMC and Cadillac stores in Portland, Oregon. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated in this Item 7.01 by reference.
