Explanation of Responses:

1. This option was approved by the Board of Directors of the Issuer on February 10, 2017, subject to approval by the Issuer's stockholders, at the 2017 Annual Meeting of Stockholders, of an amendment of the Issuer's 2010 Long Term Incentive and Stock Award Plan (the "Plan"), including an increase in the number of shares reserved for issuance under the Plan (the "Amendment"). The Stockholders of the Issuer approved the Amendment on May 18, 2017.

2. Shares subject to this option shall vest in equal monthly installments over three years from the grant date.
