ITEM 5.02. DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS.
On July 21, 2005, Derek C. Bonham informed TXU Corp. (the "Company") of his intention to retire from the Company's Board of Directors for health reasons. Mr. Bonham will remain on the Board of Directors until a suitable replacement is located. As previously disclosed, the Nominating and Governance Committee of the Company's Board of Directors has engaged a professional search firm to assist it in identifying potential nominees to fill vacancies on the Board of Directors of the Company. The Company has made significant progress in the search for potential nominees and will announce Mr. Bonham's replacement when he or she has been identified and elected to the Board of Directors.
