1. Represents a grant of restricted stock units ("RSUs") under the SG Blocks, Inc. Stock Incentive Plan. Each RSU represents the right to receive, upon vesting, one share of the issuer's common stock, par value $0.01. The RSUs will vest pro rata quarterly over 24 months, subject to the reporting person's continued service as a director of the issuer through such date.
