Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(c) Effective October 13, 2007, the Company’s Board of Directors elected Theodore D. Crandall as Senior Vice President and Chief Financial Officer of the Company. Mr. Crandall, age 52, has served as interim Chief Financial Officer since April 4, 2007 and as a Senior Vice President of the Company since February 2004. Previously, he served as head of what is now the Company’s Control Products & Solutions segment from August 2000 until April 2007. During his career with the Company, Mr. Crandall has served in a broad range of senior operational and finance roles across the Company’s organization, including vice president of finance and business planning for the Company’s business unit that was the predecessor to what is now the Architecture and Software segment.
On October 15, 2007, the Company issued a press release announcing Mr. Crandall’s election. A copy of the press release is furnished as Exhibit 99 to this Current Report on Form 8-K.
