Explanation of Responses:

1. My spouse is Trustee of these shares held in a grantor retained annuity trust.

2. These Ford Restricted Stock Units were acquired under the Company's Long-Term Incentive Plan without payment by me. These Ford Restricted Stock Units will be converted and distributed to me, without payment, to the extent of 87,444 shares of Common Stock on May 15, 2019.

3. These Ford Restricted Stock Units were acquired under the Company's Long-Term Incentive Plan without payment by me. These Ford Restricted Stock Units will be converted and distributed to me, without payment, to the extent of 22,156 shares of Common Stock on March 2, 2019 and 22,828 shares of Common Stock on March 2, 2020.

4. These Ford Restricted Stock Units were acquired under the Company's Long-Term Incentive Plan without payment by me. These Ford Restricted Stock Units will be converted and distributed to me, without payment, to the extent of 52,027 shares of Common Stock on May 22, 2019 and 53,604 shares of Common Stock on May 22, 2020.

5. These Ford Restricted Stock Units were acquired under the Company's Long-Term Incentive Plan without payment by me. These Ford Restricted Stock Units will be converted and distributed to me, without payment, in shares of Common Stock to the extent of 33% after one year from the date of grant (03/02/2018), 66% after two years, and in full after three years
