Item 8.01 Other Events.
On January 4, 2010, World Heart Corporation filed a Form 8-K disclosing that it had changed its jurisdiction of incorporation from the federal jurisdiction of Canada to the State of Delaware in the United States of America through a plan of arrangement.
In accordance with Rule 12g-3(a) under the Securities Exchange Act of 1934 (the “Exchange Act”), the shares of common stock of World Heart Corporation, a Delaware corporation, as the successor to World Heart Corporation, a corporation under the federal jurisdiction of Canada, are deemed to be registered under Section 12(b) of the Exchange Act .
