ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
On October 16, 2006, West Corporation (the “Company”) and certain of its subsidiaries named therein entered into a Purchase Agreement with Deutsche Bank Securities Inc., Lehman Brothers Inc., Banc of America Securities LLC, Wachovia Capital Markets, LLC and GE Capital Markets, Inc. (the “Initial Purchasers”), pursuant to which the Company will issue and sell to the Initial Purchasers $650,000,000 aggregate principal amount of its 91/2% Senior Notes due 2014 (the “Senior Notes”) and $450,000,000 aggregate principal amount of its 11% Senior Subordinated Notes due 2016 (the “Senior Subordinated Notes”, and together with the Senior Notes, the “Notes”). The Senior Notes will mature on October 15, 2014 and the Senior Subordinated Notes will mature on October 15, 2016. Interest on the Notes will accrue and be payable semiannually in arrears on April 15 and October 15 of each year, commencing on April 15, 2007. The Notes will be sold to qualified institutional buyers in compliance with Rule 144A of the Securities Act of 1933, as amended (the “Securities Act”), and to persons outside the United States in reliance upon Regulation S of the Securities Act. The Notes have not and will not be registered under the Securities Act and, unless so registered, may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
The offering of the Notes, the recapitalization of West Corporation and the related transactions are expected to be completed in October 2006, subject to the satisfaction or waiver of customary closing conditions.
