On November 13, 2019, the Compensation Committee of the Board of Directors of Tenneco Inc. (the “Company”) granted a retention award to Patrick Guo, Executive Vice President and President, Clean Air. Pursuant to the terms of the award, Mr. Guo is entitled to receive an aggregate cash payment of $500,000 which will vest 50% on December 31, 2020 and 50% on December 31, 2021, provided that vesting of the award may be accelerated (i) upon the separation of the Company’s Aftermarket and Ride Performance businesses and Clean Air and Powertrain businesses and (ii) in connection with certain separations from service.
