Carey Inc., a Maryland corporation (the “Company”), in connection with the registration under the Securities Act of 1933, as amended (the “Act”) on Form S-8 (the “Registration Statement”) of the issuance by the Company from time to time of up to 2,300,000 shares of its Common Stock, $ .001 par value (the “Shares”) under the Company’s 2009 Share Incentive Plan (the “Plan”).

The foregoing opinion is limited to the Federal laws of the United States and the laws of the State of Maryland, and we are expressing no opinion as to the effect of the laws of any other jurisdiction.
