Explanation of Responses:

1. Each Restricted Stock Unit (RSU) represents a contingent right to receive one share of Tandem Diabetes common stock.

2. The RSUs were granted on May 27, 2020 and were initially scheduled to vest 100% on May 27, 2021. However, the vesting of these RSUs has been accelerated in full to December 31, 2020, which is the effective date of Mr. Cahill's resignation from the Board of Directors of Tandem Diabetes Care, Inc.
