1. Zero starting balance for all holdings as of 6/19/2013

2. Phantom stock is acquired upon deferral of compensation under the Deferred Compensation Plan for Non-Employee Directors, exempt under rule 16b-3(d).

3. Phantom stock is payable in accordance with the terms of the Deferred Compensation Plan for Non-Employee Directors.

4. This amount includes 63.07 units of phantom stock acquired on 7/17/17 and 79.09 units of phantom stock acquired on 10/16/17 pursuant to a dividend reinvestment feature of the Deferred Compensation Plan for Non-Employee Directors.
