(1)		Pursuant to Rule 416(a) under the Securities Act of 1933, as amended (the “Securities Act”), this Registration Statement on Form S-8 (the “Registration Statement”) shall also cover any additional ordinary shares, par value 1.00 New Israeli Shekel per share (“Ordinary Shares”) of Elbit Systems Ltd. (the “Registrant”) as may become available for issuance pursuant to the Registrant’s 2022 Equity Incentive Plan for Employees (the “Plan”) by reason of any stock dividend, stock split, recapitalization or other similar transaction effected without the receipt of consideration that results in an increase in the number of the Registrant’s outstanding Ordinary Shares.
(2)		Represents 791,100 Ordinary Shares reserved for issuance pursuant to outstanding stock options granted pursuant to the Plan and 308,900 Ordinary Shares reserved for future issuance under the Plan.
