On December 28, 2009, Steve Wood provided notice of his intent to resign as Executive Vice President of Health Grades, Inc. (the “Company”), effective December 31, 2009. Mr. Wood was a “named executive officer” in the Company’s Proxy Statement related to the Company’s 2009 Annual Meeting of Stockholders. Mr. Wood has elected to step down from his position for personal reasons. Mr. Wood has served as executive vice president since July 2006, and in this role has helped drive HealthGrades’ mission to guide America to better healthcare.
