On August 18, 2008, Michael Beaudoin advised Health Grades, Inc. (the “Company”) of his intention to resign as a member of the Board of Directors of the Company. His resignation is effective August 22, 2008. Mr. Beaudoin cited personal reasons. He was a member of the Company’s audit committee.
