Item 8.01. Other Events
On August 6, 2014, Steven Bangert, Chairman and Chief Executive Officer of the Company adopted a stock trading plan in accordance with Rule 10b5-1 of the Securities Exchange Act of 1934, as amended. Mr. Bangert’s plan provides for the sale of up to 24,448 shares. Under Rule 10b5-1, directors, officers and other employees who are not in possession of material non-public information may adopt a pre-arranged plan or contract for the sale of company securities under specified conditions at specified times. Any transactions under the plan will be disclosed through Form 4 filings with the Securities and Exchange Commission.
