| 1. Disposed of pursuant to the Agreement and Plan of Merger (the "Merger Agreement"), dated as of March 11, 2020, by and between Provident Financial Services, Inc. ("Provident") and SB One Bancorp ("SB One"). SB One Bancorp merged with and into Provident, with Provident continuing as the surviving entity. At the effective time of the Merger (the "Effective Time"), each share of SB One common stock issued and outstanding immediately prior to such time was converted into the right to receive 1.357 shares of Provident common stock, with a market value of $18.52 per share of SB One common stock based on the closing price of Provident common stock on July 31, 2020. |
