Explanation of Responses:

1. 50 Class A shares were issued to Mr. Fuhrman in exchange for the cancellation of a founding $50,000 loan to the issuer by Mr. Fuhrman.

2. All Class A shares converted to Common Stock.

3. 69,478 shares of Common Stock sold to Amersham Biosciences as part of its partial acquisition of the issuer.

4. 180,000 shares of Common Stock were issued to Mr. Fuhrman pursuant to Mr. Fuhrman's exercise of employee stock options.

5. 100,059.5 shares of Series A Preferred Stock acquired from preferred stockholders.
