Item 2.02 Results of Operations and Financial Condition
On April 25, 2007, GS Financial Corp. (the “Company”) reported its results of operations for the fourth quarter and year ended March 31, 2007.

Item 7.01 Regulation FD Disclosure
At a meeting held on April 24, 2007, the Company's Board of Directors approved a quarterly cash dividend of $.10 per share. By press release dated April 25, 2007, the Company announced the declaration of the quarterly cash dividend, which is payable on May 23, 2007 to shareholders of record as of May 8, 2007.
