On May 27, 2005, Renaissance Learning, Inc., a Wisconsin corporation (the “Company” or “Renaissance”), issued a press release (the “Press Release”) announcing that the Securities and Exchange Commission (the “SEC”) declared effective the amended registration statement on Form S-4 filed in connection with the Company’s proposed acquisition of AlphaSmart, Inc., a Delaware corporation (“AlphaSmart”). A copy of the Press Release is attached hereto as an exhibit and incorporated herein by reference.
