Appointment of Certain Officers; Compensatory Arrangements of Certain
Officers.
Effective June 12, 2009, Gordon H. Gunnlaugsson retired from the Board of Directors and the Audit Committee, Compensation Committee and Nominating and Governance Committee of the Board of Directors of Renaissance Learning, Inc. (the “Company”) in order to devote more time to his other business interests. Mr. Gunnlaugsson served on the Company’s Board of Directors since 2000.
