Item 8.01. Other Events.
On October 27, 2010, Renaissance Learning, Inc., a Wisconsin corporation (the “Company”), issued a news release (the “News Release”) announcing the Company’s declaration of a special cash dividend of $2.00 per share and a quarterly cash dividend of $.08 per share, both to be paid on December 1, 2010 to the Company’s shareholders of record as of November 12, 2010. A copy of the News Release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
