Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
As of January 17, 2007, Mr. Sherwood L. Boehlert, former United States Congressman, agreed to join the Company’s Board of Directors effective immediately for a term to expire at the Company’s next Annual Meeting of Shareholders. Mr. Boehlert has not yet been appointed to any committee of the Company’s Board of Directors. Non employee directors of the Company receive an annual retainer of $35,000 payable at each director’s election in cash or common stock and subject to deferral under the Director’s Deferred Compensation Plan. In addition, directors participate in the Company’s Stock Option Plan and typically receive annual option grants.
