Explanation of Responses:

1. The shares will vest 6.25% quarterly beginning in 2018 over a four year period. The Reporting Person has voting and dividend rights on all of these shares, including unvested shares.

2. Shares will be earned on January 1, 2019 based upon achieving certain 2018 performance targets, then will vest 6.25% quarterly thereafter over a three year period. The Reporting Person has dividend and voting rights on all of these shares, including unvested shares.
