Item 7.01 Regulation FD Disclosure.
On November 1, 2021, FirstEnergy Corp. (the “Company,” “FE,” “we,” “us” or “our”) issued a press release and an investor letter announcing that the Company’s Ohio electric utility operating companies, Ohio Edison Company, The Cleveland Electric Illuminating Company and The Toledo Edison Company (collectively, the “Ohio Companies”), filed, with eleven other parties, a unanimous Stipulation and Recommendation (the “Stipulation”) with the Public Utilities Commission of Ohio (“PUCO”) to resolve numerous open proceedings before the PUCO, including the Ohio Companies’ Significantly Excessive Earnings Test (“SEET”) for 2017-2020, the Electric Security Plan IV (“ESP IV”) Quadrennial Review, and Energy Efficiency rider audits for 2014-2018. Major provisions of the Stipulation, which remains subject to PUCO approval, include $306 million in aggregate benefits to the Ohio Companies’ customers, including bill credits of $96 million to resolve the 2017-2019 SEET proceedings and prospective rate reductions of $210 million to be provided to customers of the Ohio Companies over the period from 2022 to 2025. The financial impact of the bill credits, if the Stipulation is approved by the PUCO, will result in an approximately $75 million after-tax charge, or $0.14 per share. The prospective rate reductions will be recognized as reductions to revenue over the future periods they are provided.
