Explanation of Responses:

1. This sale was effected pursuant to a Rule 10b5-1 trading plan adopted by the Reporting Person.

2. Represents a weighted average sales price per share. These shares were sold in multiple transactions at prices ranging from $15.00 to $15.26. The Reporting Person has provided to the issuer, and undertakes to provide to the staff of the Securities and Exchange Commission or any security holder of the issuer, upon request, full information regarding the number of shares sold at each separate price within the range.

3. Represents a weighted average sales price per share. These shares were sold in multiple transactions at prices ranging from $15.00 to $15.265. The Reporting Person has provided to the issuer, and undertakes to provide to the staff of the Securities and Exchange Commission or any security holder of the issuer, upon request, full information regarding the number of shares sold at each separate price within the range.

4. The Shares are held directly by the Bruce Chizen 2009 Irrevocable Trust, Dated January 24, 2009 of which the Reporting Person is trustee.

5. The Shares are held directly by Gail Chizen 2009 Irrevocable Trust of which the Reporting Person is trustee.

6. The Stock Option was received in exchange for an option to purchase shares of common stock of ChargePoint, Inc. in connection with the merger pursuant to the terms of that certain Business Combination Agreement and Plan of Reorganization, dated as of September 23, 2020. The Stock Option shall vest with respect to 1/48th of the Shares subject to the Stock Option when the Reporting Person completes each month of continuous Service after April 30, 2020, provided, that the Reporting Person remains in continuous service on such vesting date.
