Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing
On September 22, 2004, the Company received notice from the American Stock Exchange that it had determined to prohibit the continued listing of the Company's common stock on the Exchange and to initiate delisting proceedings. The Exchange took the position that the Company was not in compliance with Sections 1003(a)(i) through (iv) of the AMEX Company Guide. Additional information is set forth in the Company's press release attached hereto.
